Articolo 1 Scopo
presenti termini e condizioni ("Termini e Condizioni") regolano la vendita da parte della società Spartan International Operations B.V. della quota di iscrizione per un evento Spartan Race, un evento DEKA, un evento DEKA Affiliate, un evento Workout Tour o qualsiasi altro evento di proprietà, gestito, concesso in licenza o sponsorizzato da Spartan International Operations B.V. (qualsiasi dei suddetti e qualsiasi evento/attività/operazione accessoria ad essi correlata, un "Evento/”Event”"), nell'Europa occidentale e altri servizi correlati come l'assicurazione di gara, l'incisione di medaglie, il merchandising, i viaggi, gli hotel o i prodotti dei partner. Questi Termini e Condizioni generali sono applicabili anche se gli acquisti vengono effettuati tramite piattaforme di terze parti (ad es. www.ticketsocket.com). Completando l'acquisto di un evento, l'utente accetta di sottoscrivere i presenti Termini e condizioni con Spartan International Operations B.V., l'operatore degli eventi in Europa occidentale, a condizione che, nonostante il contrario, l'utente riconosca e accetti che, in qualsiasi momento dopo il completamento dell'acquisto, Spartan International Operations B.V. abbia il diritto di cedere (in tutto o in parte) i propri diritti e le proprie responsabilità ai sensi del presente documento e in qualsiasi altro modo connessi alla fornitura dei prodotti e dei servizi acquistati dall'utente (tra cui, a titolo esemplificativo e non esaustivo, l'operatività dell'evento;e/o l'invio di comunicazioni promozionali o relative all'Evento), alle entità affiliate di Spartan International Operations B.V., alla sua società controllata, Xchange Sport & Event AG (società registrata nel Liechtenstein) (ciascuna di tali entità, un "Affiliato"). A scanso di equivoci, nel caso in cui Spartan International Operations B.V. assegnasse tali diritti e responsabilità a un Affiliato: (i) l'utente sarà informato di tale assegnazione effettiva; e (ii) tale assegnazione non avrà un impatto significativo, o influenzerà o altererà materialmente il prodotto e/o il servizio acquistato dall'utente o i suoi diritti ad esso correlati.

Articolo 2 Prezzo
I prezzi dei nostri prodotti sono indicati in euro, comprensivi di tutte le imposte (IVA e altre imposte applicabili alla data dell'ordine), salvo diversa indicazione e salvo le spese di servizio, le spese bancarie e le spese per le carte di credito. Tali spese sono calcolate in base all'importo totale dell'acquisto, IVA inclusa. L'importo di queste spese sarà aggiunto all'importo totale dell'ordine prima del pagamento.

Articolo 3 Ordini
Il cliente può ordinare solo tramite Internet: https://it.spartan.com/ reindirizzando sulla piattaforma di vendita www.ticketsocket.com. Le informazioni contrattuali sono presentate in italiano o in inglese e saranno confermate al più tardi al momento del checkout (fatte salve le disposizioni dell'Articolo 14). La società Spartan International Operations B.V. (o Affiliate, a seconda dei casi) si riserva il diritto di non accettare il pagamento e di non confermare un ordine per qualsiasi motivo, in particolare in caso di problemi di fornitura o di difficoltà relative all'ordine ricevuto. Il cliente riconosce e accetta che Spartan International Operations B.V. (o Affiliate, a seconda dei casi) possa cambiare la piattaforma di vendita in qualsiasi momento e senza notificare il cliente. In caso di cambiamento della piattaforma di vendita, il cliente dà il proprio consenso alla migrazione dei suoi dati cliente su un'altra piattaforma. La scelta della piattaforma di vendita e la successiva selezione di un'altra piattaforma è a esclusiva discrezione di Spartan International Operations B.V. (o Affiliate, a seconda dei casi).

Articolo 4 Convalida dell'ordine
Ogni ordine che compare sul sito web https://it.spartan.com/ implica l'accettazione dei presenti Termini e Condizioni. Ogni conferma d'ordine implica la piena accettazione da parte del cliente dei presenti Termini e Condizioni senza eccezioni o riserve. Tutti i dati forniti e le conferme registrate hanno valore di prova della transazione. Il cliente dichiara di avere una conoscenza completa dei Termini e delle Condizioni. La conferma d'ordine ha valore di firma e accettazione della transazione. Un riepilogo dei dati dell'ordine verrà inviato via e-mail al momento della conferma dell'ordine.

Articolo 5 Pagamento
La convalida di un ordine comporta l'obbligo di pagare il prezzo indicato. Il metodo di pagamento degli acquisti dipende dal Paese. Tutte le gare Spartan si svolgono attraverso la piattaforma di registrazione ticketsocket (fatte salve le disposizioni dell'Articolo 3). Il pagamento viene addebitato una volta confermato l'ordine. Il cliente riceve una conferma d'ordine e una conferma dell' acquisto. Lo storno non autorizzato di un pagamento a Spartan International Operations B.V. (o Affiliate, a seconda dei casi) o a uno dei suoi partner da parte della banca del cliente per un ordine confermato non è consentito. Se lo storno di un pagamento viene effettuato senza il consenso di Spartan International Operations B.V. (o Affiliate, a seconda dei casi), deve essere pagata una penale contrattuale pari al 50% del prezzo di acquisto, oltre al prezzo di acquisto originale.

Articolo 6 Ritiro
Spartan International Operations B.V. (o Affiliate, a seconda dei casi) si riserva il diritto generale di rinviare, cancellare o modificare gli eventi a propria discrezione. Questo diritto di rinviare, cancellare o modificare l'evento si applica in particolare - ma non solo - a situazioni in cui le condizioni meteorologiche sono sfavorevoli (ad es. caldo, pioggia o nevicate, grandine, temporali, tempeste e qualsiasi altro fenomeno meteorologico, eventualmente solo locale) o qualsiasi altro fattore al di fuori del controllo di Spartan International Operations B.V. (o Affiliate, a seconda dei casi) che possa influire negativamente sul benessere, la salute e/o la sicurezza dei partecipanti; in particolare quando epidemie o pandemie sono identificate dall'Organizzazione Mondiale della Sanità e/o dalle autorità nazionali o locali (ad es. Covid-19). L'acquisto di un biglietto d'ingresso per un evento è generalmente non rimborsabile e non trasferibile; comprese, ma non solo, le situazioni in cui Spartan International Operations B.V. (o Affiliate, a seconda dei casi) decida di rinviare, cancellare o modificare gli eventi a sua esclusiva discrezione o in cui un evento non possa essere tenuto per cause di forza maggiore o per ordini ufficiali (ad esempio, disastri naturali, situazioni di pandemia o epidemia, qualsiasi tipo di divieto ufficiale di eventi, ecc.)

Articolo 7 Eventuali Rinvii
Spartan International Operations B.V. (o Affiliate, a seconda dei casi) può offrire a propria discrezione opzioni non obbligatorie che consentono al cliente di rinviare il proprio biglietto d'ingresso a un'altra persona o a un altro evento. Il cliente è consapevole e riconosce di non avere alcun diritto legale a un rinvio. Spartan International Operations B.V. (o Affiliate, a seconda dei casi) si riserva esplicitamente il diritto di non concedere differimenti per qualsiasi motivo. La procedura per i rinvii sarà definita sul sito web https://it.spartan.com/ così come i termini e i costi per i rinvii. Spartan International Operations B.V. (o Affiliate, a seconda dei casi) si riserva il diritto di definire e/o aggiornare i termini e i costi dei rinvii in qualsiasi momento. I presenti Termini e condizioni si applicano anche alla prenotazione di un rinvio. In caso di trasferimento a un'altra persona, il primo acquirente si impegna a indennizzare e a tenere indenne Spartan International Operations B.V. (o Affiliate, a seconda dei casi) se quest'ultima - per qualsiasi motivo - non accetta/non è in grado di accettare legalmente i presenti Termini e Condizioni o non ha accettato/non è in grado di accettare legalmente la Rinuncia. Il primo acquirente è responsabile nei confronti di Spartan International Operations B.V. (o Affiliate, a seconda dei casi) del fatto che la persona che prende in consegna il biglietto adempia ai suoi obblighi di pagamento nei confronti di Spartan International Operations B.V. (o Affiliate, a seconda dei casi). In ogni caso, Spartan International Operations B.V. (o Affiliate, a seconda dei casi) si riserva il diritto di rifiutare la persona che riceve un biglietto d'ingresso trasferito in regime di differimento senza fornire motivazioni e senza alcun risarcimento al primo acquirente.

Articolo 8 Responsabilità e diritti di immagine
Confermando l'ordine il cliente dichiara di comprendere appieno i rischi e le circostanze eccezionali relative alla partecipazione a tale evento sportivo:

  • Il cliente concede il pieno permesso a Spartan International Operations B.V., Spartan International Operations B.V., Spartan Race, Inc. e altri Affiliati, e Sportograf (definito di seguito) (collettivamente, i Rilasciatori) di utilizzare, riprodurre, vendere, diffondere e distribuire fotografie, immagini, video, foto di movimento, registrazioni o qualsiasi altra registrazione delle attività che fanno parte degli Eventi per qualsiasi scopo legittimo, in perpetuo, e che non ci sarà alcun compenso in cambio.
  • Il cliente concede l'autorizzazione gratuita alla pubblicazione di filmati, video e registrazioni dell'esibizione relativa all'evento e successivamente alla diffusione e all'utilizzo degli stessi mezzi di comunicazione a titolo gratuito nel modo che le Società di gestione riterranno opportuno. Questa autorizzazione include il diritto illimitato di addebitare l'uso appropriato da parte delle Liberatorie del nome, del soprannome, dell'immagine, della voce, della foto, della firma facsimile e delle informazioni biografiche del cliente nell'ambito dell'evento. Il cliente riconosce che le Liberatorie e i loro rappresentanti hanno il diritto illimitato, nell'ambito del diritto d'autore, di utilizzare, riutilizzare, pubblicare, ripubblicare, diffondere e distribuire in altro modo tutto o parte dell'evento in cui il cliente può apparire in programmi radiofonici, di rete, televisivi via cavo e locali e in tutti i materiali stampati e in qualsiasi altro formato o media (compresi i media elettronici) attualmente conosciuti o sviluppati in futuro, in perpetuo e senza alcun compenso. In cambio del permesso di partecipare all'evento, il cliente si impegna e accetta di non citare in giudizio le Liberatorie per tutti i reclami presenti e futuri relativi alla partecipazione del cliente agli eventi, che possono essere fatti dal cliente, dalla sua famiglia, dagli eredi del patrimonio del cliente o da chi ne fa le veci.
  • Partecipando ad un Evento, acconsentite e concedete il diritto e il permesso alle Liberatorie e al suo fornitore di servizi fotografici, Sportograf (incluse le sue affiliate, “Sportograf”) di fotografare, filmare, registrare e/o immortalare in altro modo la vostra partecipazione all'Evento (vedi informativa Sportograf). Inoltre, se accettate di acquistare le foto dell'Evento (“Acquisto di foto”) prima o dopo l'acquisto dell'iscrizione all'Evento, acconsentite alla condivisione dei vostri dati di contatto con Sportograf per ricevere i loro servizi/prodotti in conformità con la nostra politica sulla privacy e accettate tutti i termini e le condizioni di Sportograf (inclusa la politica sulla privacy di Sportograf). Tutti gli acquisti di foto di gara non sono trasferibili e non sono rimborsabili.
  • Con l'iscrizione alla gara, il cliente si impegna a rispettare tutte le regole dell'evento che sono disponibili sul sito web. Il cliente riceverà un chip di cronometraggio per la gara e riconosce che dovrà indossarlo come indicato nella sezione “Sanzioni”. Il cliente è consapevole di dover restituire il chip di cronometraggio agli organizzatori dopo la gara. Nel caso in cui il cliente non sia in grado di restituire il chip di cronometraggio, il cliente è consapevole che l'organizzatore ha il diritto di addebitare al cliente il prezzo dello stesso.

Articolo 9 Rinuncia; responsabilità
La rinuncia del partecipante, l'esonero di responsabilità e la liberatoria per l'immagine (“Rinuncia”) firmata dal cliente/acquirente durante l'acquisto del biglietto è parte integrante dei presenti Termini e condizioni e, di conseguenza, è incorporata per riferimento. CON IL PRESENTE DOCUMENTO L'UTENTE RINUNCIA, RILASCIA, SI IMPEGNA A NON CITARE IN GIUDIZIO E AD ESONERARE PER SEMPRE LE PARTI ESONERATE DA QUALSIASI RIVENDICAZIONE DERIVANTE DA O IN QUALSIASI MODO CONNESSA ALLA SUA REGISTRAZIONE.

Articolo 10 Legge applicabile in caso di controversie
I presenti Termini e condizioni sono soggetti alla legge del Liechtenstein. In caso di controversia, saranno competenti i tribunali del Liechtenstein. Le parti possono inoltre far valere i propri diritti davanti a qualsiasi altro tribunale competente.

Articolo 11 Proprietà intellettuale
Tutti gli elementi del sito https://it.spartan.com/ sono e rimangono di proprietà intellettuale esclusiva di Spartan International Operations B.V. (o Affiliate, a seconda dei casi). Non è consentito riprodurre, utilizzare, ripubblicare o utilizzare per qualsiasi scopo, anche parzialmente, elementi del sito, siano essi software, visivi o sonori. Ogni singolo link o collegamento ipertestuale è severamente vietato senza l'espresso consenso scritto della società Spartan International Operations B.V. (o Affiliate, a seconda dei casi).

Articolo 12 Dati personali
La società Spartan International Operations B.V. (o Affiliate, a seconda dei casi) si riserva il diritto di raccogliere informazioni e dati personali. Essi sono necessari per gestire l'ordine del cliente e per migliorare i servizi e le informazioni che inviamo al cliente. Il cliente accetta e acconsente espressamente che i suoi dati personali possano essere inviati anche a società (comprese le Affiliate e i fornitori di servizi) che contribuiscono a questi rapporti, come quelle responsabili dell'esecuzione dei servizi e degli ordini per la loro gestione, esecuzione, elaborazione e pagamento. Queste informazioni e questi dati vengono conservati anche a fini di sicurezza, per adempiere agli obblighi di legge e normativi. Secondo la legge, il cliente ha diritto di accesso, rettifica e opposizione alle informazioni personali e ai dati personali che lo riguardano, direttamente sul sito web. Spartan International Operations B.V. (o Affiliate, a seconda dei casi) rispetta le leggi nazionali e dell'UE sulle modalità di raccolta e sicurezza dei dati. Spartan International Operations B.V. Articolo 13 Archiviazione delle prove
La società Spartan International Operations B.V. (o Affiliate, a seconda dei casi) archivierà gli ordini di acquisto e le fatture su un supporto affidabile e durevole come copia conforme. Tutte le parti considereranno le registrazioni della società Spartan International Operations B.V. (o Affiliate, a seconda dei casi) come prova di comunicazioni, ordini, pagamenti e transazioni tra le parti.

Articolo 14 Assicurazioni
Riconosci espressamente che l'evento è un evento rischioso (vedi anche la rinuncia di cui all'Articolo 8). È necessario essere assicurati nel miglior modo possibile. Poiché Spartan Race non appartiene ad alcuna federazione sportiva, le licenze sportive non sono valide ai fini dell'assicurazione individuale durante i nostri eventi. Proponiamo al cliente un'assicurazione individuale contro gli infortuni e un'assicurazione per il trasferimento medico, in modo che il cliente sia sicuro di essere assicurato per qualsiasi incidente che non rientri nella responsabilità dell'organizzatore. Questo non è obbligatorio, ma è responsabilità personale del cliente controllare che tutte le assicurazioni richieste siano in atto con le assicurazioni private del cliente per quanto riguarda gli infortuni individuali o il trasferimento medico per questo tipo di eventi. All'organizzatore non potrà essere richiesto alcun compenso finanziario in relazione a tali questioni. Questa assicurazione è accessibile durante il processo di registrazione e non è trasferibile né rimborsabile.

Articolo 15 Regolamenti
La Spartan Race, in quanto evento sportivo, ha un regolamento che si applica durante la gara. Partecipando a questo evento, il cliente riconosce di aver letto e accettato i regolamenti che regolano il suo comportamento e la sua partecipazione a questo evento. I regolamenti sono accessibili durante il processo di registrazione, sul sito web e inviati al cliente via e-mail prima di ogni gara.

Articolo 16 Interpretazione
I presenti Termini e Condizioni e le altre informazioni contrattuali sono disponibili sia in italiano che in inglese. In caso di incongruenze tra la versione italiana e quella inglese, prevarrà la versione italiana.

PROHIBITIONS

You agree not to do any of the following (collectively, “Prohibitions”):

Post, upload, publish, submit, or transmit any Posts or engage in any activity relating to the Services that:

infringes, misappropriates, or violates a third party's patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy;

violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability;

is fraudulent, false, misleading, or deceptive;

is defamatory, obscene, pornographic, vulgar, or offensive;

promotes or otherwise causes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group;

is violent or threatening or promotes violence or actions that are threatening to any person, animal, or entity;

harms or exploits minors; or

promotes illegal or harmful activities or substances.

Use, display, mirror or frame the Services or any part thereof.

Use our name, trademarks, logos or other proprietary information, or the layout and design of any page or form contained on a page, without our express written consent.

Access, tamper with, or use non-public areas of the Services.

Attempt to probe, scan or test the vulnerability of any portion of the Services or breach any security or authentication measures of the Services.

Avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by us, our providers or any other third party (including another user) to protect the Services.

Bypass any territorial restrictions, including IP address-based restrictions that may be applied to the Services.

Attempt to access, scrape or search the Services or Content or download Content from the Services, including through the use of any engine, software, tool, agent, device, or mechanism (including spiders, robots, crawlers, data mining tools, plugins, add-ons or the like), other than the software and/or search agents provided by us or other generally available third-party web browsers.

Send any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters, or other form of solicitation.

Use any meta tags or other hidden text or metadata utilizing our trademarks, logos, URLs, or product name without our express written consent.

Use the Services or Content, or any portion thereof, for any commercial purpose or for the benefit of any third party or in any manner not permitted by these Terms or permitted expressly in writing by us, including advertising to or soliciting others.

Share passwords with any third-party or encourage any other user to do so or permit others to use your account, including taking classes.

Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Services or Content to send altered, deceptive, or false source-identifying information.

Attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the Services or Content.

Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Services.

Collect or store any personally identifiable information from other users or the Services without express permission from the users and us.

Copy, use, index, disclose or distribute any information or data obtained from the Services, whether directly or through third parties (such as search engines), without our express written consent.

Screen record, reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast, use for commercial purposes or otherwise exploit any portion of the Services.

Misrepresent the source, identity, or content of information transmitted via the Services including deleting the copyright or other proprietary rights or notices from any portion of the Services.

Upload copyrighted material that is not your own or that you do not have the legal right to distribute, display, and otherwise make available to others.

Upload or send through the Services pornographic, threatening, embarrassing, hateful, racially or ethnically insulting, libelous, or otherwise inappropriate content.

Alter, replicate, store, distribute, or create derivatives from the Content or Posts available via the Services except as expressly permitted in writing by us.

Impersonate or misrepresent your affiliation with any person or entity or otherwise try to hide your identity.

Access, use, or exploit the Services in any manner (other than as expressly permitted by these Terms), including to build, develop (or commission the development of), replicate, or consult upon any product or service that may compete (directly or indirectly) with the Services.

Violate any applicable law or regulation.

Encourage or enable any other individual to do any of the foregoing.

You also agree to abide by our other policies that are disseminated as part of the Services.

We have the right to monitor usage of the Services, but not the obligation to do so, for any purposes, including operating the Services, to ensure compliance with these Terms, to comply with applicable law or other legal requirements and to maintain the integrity and reputation of the Services and our systems. We reserve the right to remove or disable access to any Posts, at any time and without notice, including, but not limited to, if we, at our sole discretion, consider any such Posts to be objectionable or in violation of these Terms. We have the right to investigate violations of these Terms or conduct that affects the Services. We may also consult and cooperate with law enforcement authorities to prosecute users who violate the law.

PROMOTIONS

In addition to these Terms, any sweepstakes, contests, games, or similar promotions (collectively, “Promotions”) made available through or in connection with the Services may be governed by specific rules that are separate from these Terms. By participating in any such Promotion, you will become subject to those rules, which may vary from the terms and conditions set forth under these Terms. Spartan urges you to review any specific rules applicable to a particular Promotion, which will be linked from such Promotion. We also urge you to review our Privacy Policy, which, in addition to these Terms, governs any information you submit in connection with such activities. To the extent such rules conflict with these Terms, such rules shall control with respect to the particular Promotion.

PARENTAL CONSENT

We will NOT knowingly collect, use, or distribute personal information from children under the age of 13 without prior verifiable consent from a parent or guardian. We cannot, however, prohibit minors from visiting or using the Spartan Websites, Apps, and/or Spartan Social Media channels, and must rely on parents and guardians to decide what materials are appropriate for children to view and purchase. There are parental control protections (such as computer hardware, software, or filtering services) available that may assist you in limiting access to material that is harmful to minors. You can find information about parental controls at http://onguardonline.gov, and https://www.consumer.ftc.gov/articles/0031-protecting-your-childs-privacy-online. We do not endorse the products or services listed at this website.

INDEMNIFICATION

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS US, OUR THIRD PARTY SERVICE PROVIDERS AND OUR AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS, FROM AND AGAINST ALL CLAIMS, DAMAGES, LOSSES AND COSTS THAT ARISE FROM OR RELATE TO YOUR ACTIVITIES ON OR THROUGH OR IN CONNECTION WITH THE SERVICES, ANY POSTS SUBMITTED BY OR ON BEHALF OF YOU OR YOUR VIOLATION OF THESE TERMS, AND WITH RESPECT TO ANY TERMS INCORPORATED HEREIN SUCH AS IN CONNECTION WITH SPARTAN RACES.

THIRD PARTY SOFTWARE AND APPLICATIONS

Our Services may contain links to third-party websites or services (“Third-Party Sites”) that are not owned, controlled, or endorsed by us. We have no control over, and assume no responsibility for the content, privacy policies, or practices of Third-Party Sites. We do not warrant the offerings of any Third-Party Sites. ACCESS AND USE OF THIRD-PARTY SITES, INCLUDING THE INFORMATION, MATERIAL, CONTENT, PRODUCTS, AND SERVICES ON LINKED SITES OR AVAILABLE THROUGH THIRD-PARTY SITES, IS SOLELY AT YOUR OWN RISK. Your correspondence or business dealings with, or participation in promotions of, Third-Party Sites found on or through the Platform are solely between you and such third-party. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such Third-Party Sites. To the extent that another party may have access to or view Content on your device, you are solely responsible for informing such party of all disclaimers and warnings in these Terms. TO THE EXTENT ANY DISCLAIMER OR LIMITATION OF LIABILITY DOES NOT APPLY, TO THE FULLEST EXTENT PERMITTED BY LAW, ALL APPLICABLE EXPRESS, IMPLIED, AND STATUTORY WARRANTIES WILL BE LIMITED IN DURATION TO A PERIOD OF 30 DAYS AFTER THE DATE ON WHICH YOU FIRST USED THE SERVICES, AND NO WARRANTIES SHALL APPLY AFTER SUCH PERIOD.

IP OWNERSHIP – RESTRICTION OF USE – INFRINGEMENT

The information and materials provided on, through, or in connection with the Services, including any content, data, text, designs, graphics, images, photographs, illustrations, audio and video clips, logos, icons, and links (collectively, the “Materials”) are owned exclusively by Spartan or its licensors, and are intended to educate and inform you about the Events and the Services. Subject to your compliance with these Terms, you may use the Materials solely for your personal, non-commercial use, provided that you do not remove any copyright or other proprietary notices contained therein. Subject to your compliance with these Terms, we grant you a limited license to use the Services and Materials for your personal use only; provided that you may not use, reproduce, modify, display, publicly perform, distribute, create derivative works of or circumvent any technological measure that effectively controls access to the Services and/or Materials in any way including, without limitation, by manual or automatic device or process, for any purpose. Notwithstanding anything to the contrary herein, all rights not specifically granted in the license set forth above shall be reserved and remain always with Spartan. Use of the Services and Materials for any purpose other than as expressly authorized in these Terms is a violation of our copyrights and other proprietary rights, and is strictly prohibited.

The trademarks, logos, and service marks displayed in connection with the Services (collectively the “Trademarks”) are the registered and unregistered trademarks of Spartan and Spartan’s advertisers, licensors, sponsors, suppliers, and others. The Trademarks owned by Spartan, whether registered or unregistered, may not be used in connection with any product or service that is not offered by Spartan, in any manner that is likely to cause confusion with customers, or in any manner that disparages Spartan. Nothing contained on the Spartan Websites, Apps, and Spartan Social Media channels should be construed as granting, by implication, estoppel or otherwise, any license or right to use any Trademark without the express written permission of Spartan, Spartan’s licensors or suppliers, or the third-party owner of any such Trademark. Misuse of any Trademarks is prohibited, and Spartan will aggressively enforce its intellectual property rights in such Trademarks, including via civil and criminal proceedings. ARBITRATION AGREEMENT & CLASS ACTION WAIVER – IMPORTANT – PLEASE REVIEW AS THIS MAY AFFECT YOUR LEGAL RIGHTS. APPLICABLE TO THE FULL EXTENT PERMITTED BY LAW.

Initial Dispute Resolution and Notification. You and we agree that, prior to initiating an arbitration or other legal proceeding, you and we will attempt to negotiate an informal resolution of the Dispute. To begin this process, and before initiating any arbitration or legal proceeding against us, you must send a Notice of Dispute (“Notice”) by certified mail to the attention of our Legal Department at the address set out in Section 21 of these Terms. For purposes of these Terms, initiating an arbitration means filing an arbitration demand (“Demand”).

Your Notice to us must contain all of the following information: (1) your full name, address, username, and the email address associated with your account for the Services; (2) a detailed description of the nature and basis of the Dispute; (3) a description of the relief you want, including any money damages you request; and (4) your signature verifying the accuracy of the Notice and, if you are represented by counsel, authorizing us to disclose information about you to your attorney.

After receipt of your Notice, you and we shall engage in a good-faith effort to resolve the dispute for a period of 60 days, which both sides may extend by written agreement (“Informal Dispute Resolution Period”). During the Informal Dispute Resolution Period, neither you nor we may initiate an arbitration or other legal proceeding.

If the Dispute is not resolved during the Informal Dispute Resolution Period, you may initiate an individual arbitration as provided below.

Mediation. If a dispute arises out of or relates to these Terms, or the Participant’s involvement in an Event, and if said dispute cannot be resolved or settled through negotiation, Participant, individually and on behalf of all of her/his heirs, personal representatives, executors, successors and assigns, agrees that prior to the filing of any arbitration, or other legal action consistent with the provisions of these Terms, that Participant will first attempt, in good faith, to settle the dispute by non-binding mediation administered by JAMS Mediation, Arbitration and ADR Services (“JAMS”). The mediation shall take place in Boston, Massachusetts, and shall be facilitated by a neutral appointed JAMS. The costs of such mediation shall be shared equally by the parties thereto.

Arbitration. All controversies, disputes or claims arising out of or related to these Terms, to the extent not first resolved through negotiation and mediation, will be submitted to and for binding arbitration in front of a single arbitrator of JAMS, conducted in accordance with JAMS’ then-current General Arbitration Rules and Procedures (which shall include the applicability of JAMS’ Consumer Arbitration Minimum Standards), at the JAMS’ offices in Boston, Massachusetts. All matters related to arbitration will be governed by the Federal Arbitration Act (9 U.S.C. §§1 et seq.) and not by any state arbitration law.

The arbitrator will have the right to award or include in the award any relief which the arbitrator deems proper in the circumstances, except that the arbitrator does not have the right to award exemplary, punitive, penal or multiple (e.g., double or treble) damages. The award and decision of the arbitrator will be conclusive and binding upon all parties hereto and judgment upon the award may be entered solely in the United States District Court for the District of Massachusetts. If Spartan is the prevailing party in any arbitration brought by you, you agree to reimburse Spartan for any arbitration costs and fees incurred by Spartan (except if you are resident of the State of California).

The arbitrator will not have the authority or right to add to, delete, amend, or modify the terms, conditions, or provisions of these Terms. All findings, decisions and awards of the arbitrator will be limited to the dispute(s) set forth in the written demand for arbitration (and any submitted counterclaim), and the arbitrator will not have authority to decide any other issues unless the parties to the arbitration mutually agree thereto.

Participant, individually and on behalf of all of her/his heirs, personal representatives, executors, successors and assigns, acknowledges and agrees that any arbitration will be conducted only on any individual, not a class-wide, basis (as further described below), and that an arbitration proceeding initiated by Participant and/or her/his heirs, personal representatives, executors, successors and assigns, may not be consolidated with any other arbitration proceeding. No findings, conclusions, orders or awards emanating from any arbitration proceeding conducted hereunder may be introduced, referred to, or used in any subsequent or other proceeding as a precedent, to collaterally estop any party from advancing any claim or defense or from raising any like or similar issues, or for any other purpose whatsoever. The principles of collateral estoppel shall not apply in any arbitration proceeding conducted under this section.

Further, Participant, individually and on behalf of all of her/his heirs, personal representatives, executors, successors and assigns, acknowledges and agrees that notwithstanding any provision of law which provides for a longer limitations period, neither Participant nor Participant’s heirs, personal representatives, executors, successors and assigns will bring, commence, or maintain an action or claim of any kind, in connection with liability or obligation in connection with these Terms, or otherwise, unless brought before the expiration of the earlier of: (i) one (1) year after the date of discovery of the facts resulting in such alleged liability or obligation, or if earlier, the date such facts should or could have been discovered with reasonable diligence; or (ii) eighteen (18) months after the date of the first act or omission giving rise to such alleged liability or obligation. Actions and claims brought or asserted after expiration of the applicable limitations period shall be barred.

Class Action Waiver. YOU AND WE AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY LAW, EACH OF US MAY BRING CLAIMS (WHETHER IN COURT OR IN ARBITRATION) AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, PRIVATE ATTORNEY GENERAL, REQUEST FOR PUBLIC INJUNCTIVE RELIEF, OR REPRESENTATIVE PROCEEDING. This also means that you and we may not participate in any class, collective, consolidated, coordinated, private attorney general, request for public injunctive relief, or representative proceeding brought by any third party.  Notwithstanding this provision or any other language in these Terms, you or we may participate in a class-wide settlement. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL.

Severability. If any portion of this Section 17 is found to be void, invalid, or otherwise unenforceable, then that portion shall be deemed to be severable and, if possible, superseded by a valid, enforceable provision, or portion thereof, that matches the intent of the original provision, or portion thereof, as closely as possible. The remainder of Section 17 and all other Terms shall continue to be enforceable and valid.

GOVERNING LAW AND JURISDICTION

These Terms shall be governed by the laws of the State of Delaware, United States of America, without regard to principles of conflicts of law. The Uniform Commercial Code, the Uniform Computer Information Transaction Act, and the United Nations Convention of Controls for International Sale of Goods shall not apply. Exclusive jurisdiction for all Disputes that are not required to be arbitrated will be the state and federal courts located in the State of Delaware, United States of America, and you consent to the jurisdiction of those courts.

INTERPRETATION; SEVERABILITY; WAIVER; REMEDIES

Headings are for convenience only and shall not be used to construe these Terms. If any term of these Terms is found invalid or unenforceable by any court of competent jurisdiction, that term will be severed from these Terms. No failure or delay In exercising any right hereunder will waive any further exercise of that right. The waiver of any such right or provision will be effective only if in writing and signed by our duly authorized representative. Our rights and remedies hereunder are cumulative and not exclusive.

SUCCESSORS; ASSIGNMENT; NO THIRD PARTY BENEFICIARIES

These Terms are binding upon and will inure to the benefit of both parties and their respective successors, heirs, executors, administrators, personal representatives, and permitted assigns. You may not assign or transfer these Terms without our prior written consent. We may assign its rights, obligations and/or these Terms at any time in its sole discretion without notice to you.

You consent to receive all communications including notices, agreements, disclosures, or other information from us electronically. We may communicate by email or by posting to the Services. Nothing in these Terms or otherwise limits our right to object to subpoenas, claims, or other demands.

MODIFICATION

We may update these Terms at any time, in our sole discretion. If we do so, we will let you know by, at a minimum, posting the updated Terms on the Services and indicating as much at the top of these Terms. Modifications will be effective on the date that they are posted. It is important that you review the Terms whenever we update them before you use the Services. If you continue to use the Services after we have posted updated Terms, you are agreeing to be bound by the updated Terms. If you don't agree to be bound by the updated Terms, then you may not use the Services anymore. Because the Services evolve over time we may change or discontinue all or any part of the Services, at any time and without notice, at our sole discretion.

ENTIRE AGREEMENT

These Terms represent the entire understanding between us and you regarding the Services or Content and supersede all prior agreements and understandings regarding the same. These Terms incorporate and apply to any separate terms and conditions that you agree to in connection with the purchase or use of any Services, goods or other services and the privacy policy. If any provision of these Terms is held invalid or unenforceable by an arbitrator or a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.

FORCE MAJEURE

Neither Party shall be liable for any failure or delay in performance under these terms (other than for delay in the payment of money due and payable in accordance with these terms) for causes beyond the party's reasonable control and not caused by that party's fault, or negligence, including, but not limited to, "acts of nature", acts of government, flood, fire, civil unrest, acts of terror, strikes or other labor problems, computer attacks or malicious acts, such as attacks on or through the internet, any internet service provider, telecommunications or hosting facility, but in each case, only if and to the extent that the non-performing Party is without fault in causing such failure or delay, and the failure or delay could not have been prevented by reasonable precautions and measures and cannot reasonably be circumvented by the non-conforming Party through the use of alternate sources, workaround plans, disaster recovery, business continuity measures or other means. Dates by which performance obligations are scheduled to be met will be extended for a period of time equal to the time lost due to any delay so caused.
